Hello all, can a person who already has an LLC doing mostly industrial design work, switch to/add architecture as a service to the company profile once the owner finishes his ARE exams and gets the license (IDP is done)? Architecture will then become a main area of the company’s focus. The question then branches into two additional ones:
1. Can the original company name be maintained without changes
2. Can a company permissible corporate entity be changed/restructured from LLC to PLLC or PC, because LLC doing architecture is not allowed in NY
The key is to be able to keep the original company name.
Would greatly appreciate any answers or perhaps a lead to a qualified lawyer who can answer with certainty. Thanks!
In most states that's a slightly easier thing to do: you just amend the articles of incorporation. Unfortunately NY doesn't have any provision to do that, so if you try to just file a certificate of amendment it will be rejected. But yes, you can use the same name, by dissolving the LLC and separately filing a PLLC, and they will let you do those two separate things simultaneously. Calling the state to verify is certainly advisable.

Start a new company, have the current company own that company, but first, ask a lawyer.
